1) Agreement to these Terms
These Terms & Conditions (“Terms”) govern your access to and use of the website located at studio.ortarium.com and any services provided by Ortarium Studio (“Ortarium Studio,” “we,” “us,” “our”).
By using the Site, submitting a form, booking a call, requesting a quote, making a payment, or engaging our services, you agree to these Terms.
2) About Ortarium Studio
Ortarium Studio is a web design studio operating under the Ortarium brand. Ortarium is also an adaptive experience governance software company. Ortarium Studio services are separate from Ortarium’s software offerings unless we explicitly agree otherwise in writing.
3) Services
We provide web design and related services, which may include:
landing pages and small business websites
website refreshes/redesigns
conversion-focused layout and messaging improvements
Framer builds and publishing support
optional add-ons (as offered)
All deliverables, timelines, and inclusions are defined in writing (proposal, invoice, email summary, or scope document) (the “Project Scope”).
4) Quotes, scope, and changes
Quotes are estimates unless stated otherwise. The Project Scope controls what is included.
If you request work outside the Project Scope, including but not limited to additional pages, major direction changes, new features, or extra revision rounds, we may provide an add-on quote and/or adjust the timeline.
We may:
provide an add-on quote, and/or
adjust the timeline.
We are not obligated to begin out-of-scope work until it is approved in writing and paid for (if applicable).
5) Client responsibilities
To keep projects on schedule, you agree to:
provide accurate information about your business and goals
supply content/assets we request (logo, copy, images, booking link, etc.)
review and respond within the timeframes we request
confirm approvals (structure, copy direction, design direction) when asked
If you delay feedback or content delivery, your timeline may extend.
6) Scheduling and calls
We may use Google Calendar for scheduling. If you book a call:
please attend at the scheduled time
if you need to reschedule, provide reasonable notice (recommended: 12–24 hours)
Repeated no-shows may result in refusal of further bookings.
7) Payment terms
Payments are processed via Stripe unless otherwise stated.
Common structures (choose what matches your offer and delete the rest):
Deposit + final payment: [e.g., 50% to start, 50% before handoff/publish]
Full upfront payment for fixed-scope packages
Add-ons billed separately
Work may pause if payments are overdue.
Fees are non-refundable once work has started, except where required by law, because time is reserved and work is performed based on your approval and inputs.
8) Refunds and cancellations
Cancellation by Client
If you cancel after payment, you remain responsible for fees for work completed up to the cancellation date, plus any non-recoverable third-party costs.
If you prepaid, any remaining balance will be refunded after deducting completed work and non-recoverable costs, unless otherwise required by law.
We will provide a brief work summary and final accounting within 5 business days.
Cancellation by Ortarium Studio
If we cancel the project, we will refund any prepaid fees for work not performed, minus any non-recoverable third-party costs already incurred on your behalf.
9) Revisions policy
Unless otherwise specified in the Project Scope:
revisions are intended to refine the agreed direction
revisions do not include a full redesign or major directional reset
Typical structure (edit to match your packages):
Package A: 1 revision round
Package B: 2 revision rounds
Additional revisions are available as paid add-ons.
A “revision round” means you provide one consolidated list of changes and we apply them.
10) Third-party services and platform limitations
Our services may rely on third-party platforms, including:
Framer (website build/hosting/publishing)
Tally (forms)
Google Calendar (scheduling)
Gmail / Google Workspace (email)
Stripe (payments)
We are not responsible for outages, platform policy changes, security incidents, or limitations caused by third-party services.
11) Content, assets, and permissions
You represent that you own or have permission to use any materials you provide, including logos, photos, text, fonts, and trademarks. You agree not to provide unlawful, infringing, or defamatory content.
If you request we source stock assets, you are responsible for licensing costs unless the Project Scope says otherwise.
12) Ownership and intellectual property
Your materials: You retain ownership of the content you provide (logos, photos, copy).
Deliverables: Upon full payment, you receive a license to use the final website deliverables for your business.
Our tools and know-how: We retain ownership of our internal methods, templates, frameworks, reusable components, and design/system know-how that are not uniquely created for you.
If you require an assignment of intellectual property rights beyond the above, it must be agreed in writing and may affect pricing.
13) Publishing, access, and handoff
Unless otherwise specified:
we will publish the site to your Framer account or transfer the project to you after final payment
you are responsible for ongoing hosting/subscription fees with Framer and any third-party tools
We are not responsible for changes you make after handoff.
14) Maintenance and support
Unless included in the Project Scope, ongoing maintenance, updates, and content changes are not included and may be available as paid add-ons.
15) Portfolio use (demo examples and client work)
Client work: Unless you request confidentiality in writing, you grant us permission to display the completed project (and your business name/logo) in our portfolio.
Demo examples: Ortarium Studio may display demo/example websites created for portfolio purposes.
If you require confidentiality, request it before project start.
16) No guarantees (results, rankings, leads)
We do not guarantee specific results such as:
number of leads, sales, or calls
SEO rankings or ad performance
conversion rates
We build conversion-first layouts and clear messaging, but outcomes depend on your market, offer, pricing, traffic, and follow-through.
17) Disclaimer
The Site and services are provided “as is” and “as available.” While we aim for high quality, we do not warrant that the Site will always be uninterrupted or error-free, especially where third-party services are involved.
18) Limitation of liability
To the fullest extent permitted by law:
we are not liable for indirect, incidental, special, consequential, or punitive damages
our total liability for any claim relating to the services is limited to the amount you paid us for the specific services giving rise to the claim
19) Indemnity
You agree to indemnify and hold us harmless from claims, damages, or expenses arising from:
content you provide that infringes rights or violates law
misuse of the deliverables
your breach of these Terms
20) Confidentiality
We will use reasonable efforts to keep your non-public information confidential. This does not apply to information that is public, independently developed, or required to be disclosed by law.
For stronger confidentiality obligations, we can sign an NDA.
21) Termination
Either party may terminate the project in writing if the other party materially breaches these Terms and fails to remedy within a reasonable time.
Upon termination:
you pay for work completed up to termination
we will provide work-in-progress deliverables that have been completed and paid for
22) Communications
You agree that we may communicate with you by email and that email is an acceptable form of notice for project communications.
23) Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on the Site with a revised “Last updated” date. Changes apply from the date posted.
24) Governing law and venue
These Terms are governed by the laws of Ontario, Canada, and applicable federal laws. Any dispute will be handled in the courts located in Ottawa, Ontario, unless otherwise required by law.
